We are glad that you are considering joining the NordenBio OÜ affiliate program. This is a great opportunity to earn extra income by sharing high-quality Puhdas+ products on your channels and helping us reach new customers.
You earn an agreed percentage from each confirmed sale, and we take care of reliable cooperation and timely payouts.

1. General provisions

1.1. These terms and conditions (“Terms”) govern the use of and participation in the NordenBio OÜ (“Company”) affiliate program (“Program”).
1.2. By joining the Program, you (“You”) confirm that you have read the Terms and Conditions and agree to comply with them and to comply with the laws of the Republic of Estonia and the European Union.
1.3. The Company has the right to update or change the Terms at any time, providing reasonable notice.

2. Conditions of participation

2.1. Both legal entities and individuals residing in Estonia or abroad can participate in the program, unless prohibited by local laws.
2.2. You must be at least 18 years old to participate.
2.3. The company has the right to refuse cooperation or terminate participation in the program at its discretion.
2.4. Companies and self-employed persons must be able to invoice the Company for the service (affiliate mediation).

3. Fees and taxation

3.1. The affiliate earns an agreed percentage on each confirmed and paid sale, which is visible in the affiliate dashboard or specified in a separate agreement.
3.2. Commission is calculated on net sales (excluding VAT, transport and returns).
3.3. Taxation in Estonia:

  • Private individuals: NordenBio OÜ withholds and pays income tax (20%) and social tax (33%) to the Estonian Tax and Customs Board.

  • Self-employed persons and legal entities: the payment will be made in full; it is your responsibility to declare and pay taxes.
    3.4. VAT:

  • If you are a VAT registered person in Estonia, you must provide a valid VAT number. VAT will be added to the commission in accordance with the law.

  • If you are not a VAT payer, the payment will be made without VAT.
    3.5. The payout will be made by bank transfer or other agreed channel once the minimum payout threshold has been reached.
    3.6. The Company has the right to postpone the payout if there is reason to suspect fraud or violation of the Terms.

4. Content requirements

4.1. All advertisements and content related to the program must comply with the requirements of the Estonian Health Board and the Food Board .
4.2. Health claims may only be used if they are approved by EFSA or listed in EU Regulation No 432/2012 .
4.3. Advertising must be truthful, not misleading and comply with the Advertising Act .
4.4. The Affiliate is solely responsible for ensuring that all created content is legal and complies with the requirements of the country in which it is published.

5. Reputation and prohibited activities

5.1. Affiliate may not create or share content that:

  • damages or may damage the reputation of NordenBio OÜ or the Puhdas+ brand;

  • contains offensive, discriminatory or illegal material;

  • presents products, prices or offers in a misleading manner.
    5.2. The company has the right to immediately terminate cooperation if the content damages the company’s reputation or brand.

6. Liability and limitation of liability

6.1. The Company is not responsible for affiliate-generated content.
6.2. The Affiliate is solely responsible for the accuracy, legality and compliance of its content.
6.3. The Company is not liable for any damages, losses or claims arising from the activities of an affiliate.

7. Termination and Violations

7.1. Both parties have the right to terminate the cooperation at any time by giving written notice.
7.2. Upon termination, earned commissions will be paid out during the next payout cycle, provided that the Terms have not been violated.
7.3. In case of violation of the Terms and Conditions, the Company has the right to:

  • demand compensation from the affiliate for damages resulting from the violation;

  • suspend or terminate cooperation immediately;

  • refuse to pay commissions for the period of violation.

8. Applicable law

8.1. The terms and conditions shall be applied and interpreted in accordance with the laws of the Republic of Estonia.
8.2. Disputes shall be resolved in Harju County Court, unless otherwise provided by law.
